By accessing and using VoAiVideo ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and VoAiVideo. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

VoAiVideo is an AI-powered video generation platform that allows users to create videos from text prompts, images, and reference videos. Our Service includes:

  • AI video generation using various models (Sora, Wan, Veo, etc.)
  • Credit-based payment system for video generation
  • User account management and video history
  • Cloud storage for generated content

3. Account Registration and Security

3.1 Account Creation

To use our Service, you must:

  • Be at least 16 years of age
  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • Restricting access to your account
  • Notifying us immediately of any unauthorized use

You acknowledge that you are solely responsible for any activities that occur under your account.

4. Credits and Payments

4.1 Credit System

VoAiVideo operates on a credit-based system:

  • Credits are purchased in packages with specific expiration dates
  • Credits are consumed when generating videos based on model and duration
  • Expired credits cannot be used or refunded
  • Credits are non-transferable between accounts

4.2 Payment Terms

  • Payment is processed through Creem and Stripe
  • All fees are non-refundable except as required by law
  • We reserve the right to modify pricing at any time
  • Prices are displayed in your local currency where applicable

4.3 Subscription Plans

For subscription plans:

  • Subscriptions auto-renew unless cancelled
  • Cancellation takes effect at the end of the current billing period
  • Downgrades may take effect in the next billing cycle

5. Acceptable Use Policy

5.1 Prohibited Content

You agree NOT to use our Service to generate content that:

  • Violates any applicable laws or regulations
  • Infringes on intellectual property rights of others
  • Contains explicit, violent, or harmful content
  • Promotes hate speech, discrimination, or harassment
  • Is false, misleading, or deceptive
  • Contains malware, viruses, or harmful code
  • Impersonates any person or entity

5.2 Prohibited Activities

You agree NOT to:

  • Reverse engineer or attempt to extract our AI models
  • Use automated tools to abuse our Service
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for competitive analysis or commercial benchmarking

6. Intellectual Property Rights

6.1 Your Content

You retain ownership of content you provide to our Service, including:

  • Text prompts and descriptions
  • Uploaded images and reference videos
  • Generated videos (subject to these Terms)

By using our Service, you grant us a license to use your content solely to provide the Service.

6.2 Generated Videos

You own the videos generated using your credits, subject to these Terms. However, we reserve the right to use anonymized data for improving our AI models and services.

6.3 VoAiVideo Property

The Service, including all technology, software, and AI models, is owned by VoAiVideo and protected by intellectual property laws. You may not copy, modify, or distribute our technology without permission.

7. Service Availability and Modifications

We strive to provide reliable service but do not guarantee:

  • Uninterrupted or error-free operation
  • That defects will be corrected
  • The Service will meet your specific requirements

We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice.

8. Termination

8.1 Termination by You

You may terminate your account at any time by:

  • Contacting support at support@voaivideo.art
  • Using the account deletion feature in settings

8.2 Termination by VoAiVideo

We may suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • Your account poses security risks

8.3 Effect of Termination

Upon termination:

  • Your right to use the Service ends immediately
  • We may delete your data and content
  • No refund of purchased credits or subscriptions

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We specifically disclaim:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy or reliability of generated content
  • Freedom from viruses or other harmful components

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDEOFLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  • Loss of data, content, or credits
  • Loss of profits or business opportunities
  • Damage to reputation or goodwill
  • Costs of procuring substitute services

Our total liability shall not exceed the amount you paid in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold VoAiVideo harmless from any claims, damages, losses, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using our Service, you consent to such processing.

13. Dispute Resolution

These Terms are governed by the laws of Estonia, without regard to conflict of law principles.

13.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the Estonian Chamber of Commerce.

These Terms constitute the entire agreement between you and VoAiVideo regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force.

14.3 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of such provision.

14.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms freely.
